T-NEXT Co., Ltd. (Head Office: Minato-ku, Tokyo; Group Representative CEO: Noriaki Takahashi; hereinafter “T-NEXT”) is pleased to announce that it has entered into a memorandum of understanding with KHL1 Holding Company, Inc. (Head Office: New York, USA; Representative: KwangHo Lee; hereinafter “KHL1”), an operator of multiple premium Japanese restaurants across the United States centered in New York, for the expansion of Japan’s top content brands throughout the Eastern United States, including New York.

Background and Purpose
T-NEXT is a food content platformer driven by the vision of “Bringing Happiness to the World Through Food,” with a mission to contribute to society through world-class food content. Since its founding, T-NEXT has acquired global licensing rights for a diverse portfolio of Japan’s leading culinary brands across categories such as ramen, sweets, yakitori, wagyu, and curry. Through partnerships with prominent companies around the world, T-NEXT has successfully expanded these brands internationally while enhancing their value and market presence in local territories.
Positioning “food content” as the core of its business, T-NEXT aims to serve as a global platform connecting the value of food cultures worldwide, and expects to collaborate with hundreds of partners across various international markets in the years ahead.
KHL1, on the other hand, is a restaurant group operating multiple premium Japanese dining establishments across the United States, centered in New York. By partnering with renowned Japanese chefs, including Michelin-recognized talent, and developing high-end Japanese restaurant concepts with unique identities, KHL1 has established a strong reputation and premium brand presence within the U.S. market. The company also operates authentic Japanese and sushi restaurants in highly sought-after areas of Manhattan, further solidifying its position as a leading premium Japanese dining group in America.
Furthermore, Mr. KwangHo Lee, the representative of KHL1, has been appointed as Co-CEO of a rapidly growing company in the U.S. food-tech sector that has attracted global attention. Backed by substantial fundraising, the company has achieved significant growth through an aggressive M&A strategy, including acquisitions of leading companies in the industry. Leveraging these business foundations and networks, KHL1 intends to further accelerate its business expansion in the future.
Through this memorandum of understanding, the two companies will combine T-NEXT’s strengths in Japanese brand licensing and product development with KHL1’s expertise in premium restaurant operations, brand building capabilities, local network, and business infrastructure within the United States. Together, the companies aim to maximize the value of Japan’s top content brands and drive sustainable business expansion throughout the Eastern United States, including New York.
Future Development
Through this memorandum of understanding, the two companies will jointly promote the expansion of Japan’s top content brands throughout the Eastern United States.
Leveraging the premium restaurant operational expertise, local marketing capabilities, brand-building strength, and extensive network it has cultivated in New York, KHL1 will accelerate the development and expansion of these brands across the target region. Meanwhile, T-NEXT will utilize its extensive experience in brand strategy, product development, and operational system building to strongly support each brand’s market penetration and value enhancement.
By combining their respective management resources, expertise, and capabilities, the two companies aim to create new market value for Japan’s leading content brands throughout the Eastern United States.
T-NEXT’s core business is its “Food Content Platform” business model. Through expanding its operations globally, the company aims to achieve an IPO on the U.S. NASDAQ market and build a corporate value exceeding USD 100 billion (approximately JPY 15 trillion), while contributing to the happiness of people around the world.
